This Work Order is subject to the Standard Terms and Conditions attached hereto and incorporated by reference.

Sales Tax: Sales tax is NOT included unless separately stated.

Accessible Areas Only: The scope of Work is limited to accessible areas only.

Photos: We may take before-and-after photographs for internal documentation, compliance records, quality assurance, and marketing purposes. Customer hereby grants us a non-exclusive, perpetual, royalty-free license to use such photographs in its promotional materials, provided Customer’s name and location are not disclosed without Customer’s prior written consent.

Service Timing / Kitchen Prep: Service will be performed within the mutually agreed time window. Customer shall ensure the kitchen exhaust system and surrounding area are fully shut down, cooled to a safe temperature, and ready for service prior to the technician’s arrival. Failure to prepare the site may result in a trip charge of $250 or up to 50% of the scheduled service price, whichever is greater.

Customer Satisfaction / Touch-up: If the Customer is not fully satisfied with the services, we must be notified in writing within forty-eight (48) hours following completion of the Work. We will then schedule a touch-up inspection and perform any necessary corrective work at no additional charge, subject to the limitations set forth in the Warranty and Disclaimer section below.

Pre-existing Code Violations: We are not responsible for any pre-existing code violations, deficiencies, or non-compliance issues in the kitchen hood or exhaust system. Any observed deficiencies or potential code issues will be noted and communicated to the Customer for their independent follow-up.

1.Payment. Invoices are due and payable according to the Payment Terms selected on the face of the Work Order. Past-due amounts shall accrue interest at the rate of 1.5%per month (18% per annum) or the maximum rate permitted by Minnesota law, whichever is less.

2.Attorney Fees and Collection Costs. In the event we must institute legal proceedings or engage counsel to collect any amounts due under this Work Order, the Customer agrees to pay all reasonable costs of collection, including attorney fees, court costs, and other expenses.

3.Minnesota Mechanics Lien Notice.

(a)Any person or company supplying labor or materials for this improvement to your property may file a lien against your property if that person or company is not paid for the contributions.

(b)Under Minnesota law, you have the right to pay persons who supplied labor or materials for this improvement directly and deduct this amount from our contract price, or withhold the amounts due them from us until 120 days after completion of the improvement unless we give you a lien waiver signed by persons who supplied any labor or material for the improvement and who gave you timely notice.

4.Warranty and Disclaimer / Waiver. We warrant that the cleaning services will be performed in a professional, work like manner substantially in accordance with applicable industry standards (including NFPA 96 standards for commercial kitchen exhaust systems). Except for the foregoing, we make NO WARRANTIES OR REPRESENTATIONS, and accepts NORESPONSIBILITY, regarding the presence or future growth or amplification of grease, debris, fungi, bacteria, microbial contamination, or any other unwanted materials in the kitchen exhaust system subsequent to the performance of services. Kitchen hood and duct systems inherently and continually collect grease and pollutants; the services provided shall NOT be deemed to prevent the future collection, distribution, growth, or amplification of such materials. WE EXPRESSLY DISCLAIM any and all liability for any fire hazards, air-quality issues, damages, losses, injuries, or claims arising out of or related to any post-service conditions. This warranty is the sole and exclusive warranty and is in lieu of any and all other warranties, express or implied, including any warranty of merchantability or fitness for a particular purpose. No oral statements shall modify or extend this warranty.

5.Scope Limitations. Services are limited to accessible areas of the hood, ductwork, fans, and related components as described on the face of the Work Order. We are not responsible for inaccessible areas unless UL-listed access doors are installed at additional cost. Customer shall provide safe access, 110-volt power, water, and clear work areas.

6.Changes / Extra Work. Any alteration or additional work must be authorized in writing by both parties and will be charged at our then-current rates.

7.Cancellation / Trip Charges. If a scheduled service is canceled or rescheduled with less than 24 hours' notice, or if Customer fails to provide access, Customer agrees to pay a trip charge of $250.00 or up to 50% of the scheduled service cost, whichever is greater.

8.Force Majeure. We shall not be liable for delays caused by strikes, accidents, weather, or other events beyond its reasonable control.

9.Insurance / Indemnity. Customer shall maintain all necessary property insurance. Customer agrees to indemnify and hold PV Hoods LLC harmless from any claims arising from Customer's failure to maintain the system or provide proper access.

10.Term / Termination (Recurring Services). For recurring services, this agreement shall continue until terminated by either party upon 30 days' written notice. All amounts due for services already rendered remain payable.

11.Governing Law. This agreement shall be governed by the laws of the State of Minnesota. Venue shall be in the county where the service is performed.

12.Entire Agreement. This Work Order and the incorporated Standard Terms and Conditions constitute the entire agreement between the parties and supersede all prior understandings. No modification shall be effective unless in writing and signed by both parties.
